Role Summary:

Responsibilities:

•协商各种类型的法律合同,提供法律咨询,以最终确定合同并保护公司利益;

•评估签订合同的法律风险,以避免公司受到不可控风险的影响;

•确保公司对第三方的权利得到充分保护,通过律师事务所提起诉讼或法院程序,并与第三方保持联系,以减轻风险并保护RGE集团旗下公司的利益;

•必要时,进行协商,达成双方满意的庭外和解;

•起草、审查和谈判各种与公司及其子公司业务相关的合同,以防止法律风险和风险评估;

•负责管理法律合同执行条款的解释和应用;

•就法律问题提供建议,通过遵守所有适用的法规、规则和条例来保护公司的利益,并尽量减少责任;

•当管理层需要法律澄清以便于决策时,负责起草法律意见书;

•必要时,建议聘请外部律师事务所,并提供适当的指导,协助公司处理法律事务;跟进所需服务的交付;

•评估外部法律服务的可交付成果的质量,以确保公司获得所支付费用的最佳价值;

•根据要求,起草合资协议、谅解备忘录和其他法律文件,以便开展公司活动;

•对公司行为是否遵守政府发布的新的相关法律法规进行审查,以确保合规;

•在收购新公司或资产时,进行法律尽职调查并撰写调查报告,以建议公司是否继续进行交易;

•就保护公司知识产权(如商标、商号、标识、系统等)提供法律建议,以确保所有知识产权得到充分保护,不受侵犯;

•在人力资源部需要时,就适用的劳动法律法规提供专业建议

Requirements:

为成功履行职责, 要求具备如下技能及资质

• 相关工作领域学位

• 至少3~5年相似岗位工作经验

• 愿意再安置到工作所在地
